END USER LICENSE AGREEMENT

IMPORTANT - READ CAREFULLY BEFORE USING THIS SOFTWARE
This End User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity, "You" or "User") and the software provider for the Batch Messenger Pro software product, which includes computer software and may include associated media, printed materials, and online or electronic documentation ("Software").
BY INSTALLING, COPYING, OR OTHERWISE USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS EULA. IF YOU DO NOT AGREE TO THE TERMS OF THIS EULA, DO NOT INSTALL OR USE THE SOFTWARE.
1. GRANT OF LICENSE
Subject to the terms and conditions of this EULA, You are granted a non-exclusive, non-transferable license to install and use the Software on any number of computers under your control.
2. PERMITTED USE
This Software is provided for LEGITIMATE BUSINESS AND PERSONAL COMMUNICATION ONLY.
Permitted uses include:
- Sending messages to family members, friends, and associates who have consented to receive them
- Business communications to customers who have provided opt-in consent
- Event coordination with willing participants
- Community updates to subscribed members
- Transactional messages related to services you provide
3. LEGAL COMPLIANCE
By using this Software, You agree to COMPLY WITH ALL APPLICABLE LAWS including but not limited to:
a) CAN-SPAM Act (United States)
- Obtain consent before sending commercial messages
- Provide clear opt-out mechanisms
- Include accurate sender information
- Honor opt-out requests promptly
b) TCPA - Telephone Consumer Protection Act (United States)
- Obtain prior express written consent for marketing texts
- Maintain do-not-call list compliance
- Respect calling time restrictions
c) GDPR - General Data Protection Regulation (European Union)
- Obtain lawful basis for processing personal data
- Respect data subject rights
- Implement appropriate security measures
d) CASL - Canadian Anti-Spam Legislation (Canada)
- Obtain express or implied consent
- Provide identification information
- Include unsubscribe mechanism
e) Local and International Telecommunications Regulations
- Comply with carrier terms of service
- Respect local messaging laws and regulations
- Honor recipient preferences and opt-out requests
4. PROHIBITED USES
You SHALL NOT use this Software for:
- Spam or unsolicited commercial messages
- Harassment, threats, or abusive communications
- Fraud, phishing, or deceptive practices
- Distribution of malware, viruses, or harmful content
- Illegal activities of any kind
- Violation of third-party rights
- Circumventing recipient consent or opt-out mechanisms
- Messages containing hate speech, violence, or illegal content
- Impersonation or identity theft
- Pyramid schemes or chain letters
5. USER RESPONSIBILITIES
You acknowledge and agree that You are SOLELY RESPONSIBLE for:
- Content of all messages sent using this Software
- Obtaining and maintaining consent from message recipients
- Compliance with all applicable laws and regulations
- Consequences of any violations of law or terms of service
- Your use of third-party services (SMS carriers, email providers, Telegram)
- Maintaining backup copies of your data
- Security of your license key and Software installation
6. DISCLAIMER OF WARRANTIES
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
The software provider does not warrant that:
- The Software will meet your requirements
- The Software will operate uninterrupted or error-free
- All defects or errors will be corrected
- The Software is compatible with all hardware or software configurations
7. LIMITATION OF LIABILITY
IN NO EVENT SHALL THE SOFTWARE PROVIDER BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THIS SOFTWARE.
The software provider shall not be liable for:
- Account suspensions or bans by carriers, email providers, or platforms
- Legal consequences of your messaging activities
- Costs associated with legal defense or settlements
- Damages to your reputation or business
- Lost messages or delivery failures
- Data loss or corruption
- Misuse of the Software by unauthorized users
MAXIMUM LIABILITY: In any case, the software provider's entire liability under any provision of this EULA shall be limited to the amount actually paid by You for the Software license.
8. LICENSE KEY AND ACTIVATION
- Your license key is NON-TRANSFERABLE and NON-REFUNDABLE
- You are responsible for keeping your license key secure
- Lost license keys may not be recoverable
- The software provider reserves the right to deactivate fraudulently obtained keys
- One license key may be used on multiple devices under your control
9. NO REFUND POLICY
All sales are final. NO REFUNDS will be provided for:
- Change of mind
- Compatibility issues (please check system requirements before purchase)
- Inability to use the Software
- Account suspensions by third-party services
- Legal issues arising from your use
10. TERMINATION
This EULA is effective until terminated. Your rights under this EULA will terminate automatically without notice if You fail to comply with any term of this EULA.
Upon termination, You must:
- Cease all use of the Software
- Destroy all copies of the Software in your possession
11. DATA PRIVACY
The Software stores all data locally on your device. The software provider does NOT:
- Collect your messages or contact information
- Transmit your data to remote servers (except as necessary for message delivery)
- Monitor your usage
- Sell or share your information
Messages are sent directly from your device to recipients via:
- Your Android phone (for SMS)
- Your email server (for email)
- Telegram's API (for Telegram messages)
12. THIRD-PARTY SERVICES
This Software integrates with third-party services including:
- SMS carriers (via your phone)
- Email providers (SMTP)
- Telegram
Your use of these services is subject to their respective terms of service and privacy policies. The software provider is not responsible for:
- Third-party service availability
- Third-party service pricing or changes
- Third-party terms of service violations
- Third-party service quality or reliability
13. UPDATES AND MODIFICATIONS
The software provider reserves the right to:
- Provide updates or patches to the Software
- Modify or discontinue features
- Update this EULA (with notice)
Updates are provided at the software provider's discretion and are not guaranteed.
14. INTELLECTUAL PROPERTY
The Software and all worldwide copyrights, trade secrets, and other intellectual property rights therein are the exclusive property of the software provider.
You may not:
- Reverse engineer, decompile, or disassemble the Software
- Remove or alter copyright notices
- Distribute or sell copies of the Software
- Claim ownership of the Software
15. EXPORT RESTRICTIONS
You agree to comply with all applicable export laws and restrictions. You may not export or re-export the Software in violation of any applicable laws or regulations.
16. SEVERABILITY
If any provision of this EULA is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
17. GOVERNING LAW
This EULA shall be governed by and construed in accordance with the laws of [YOUR JURISDICTION], without regard to its conflict of law provisions.
18. ENTIRE AGREEMENT
This EULA constitutes the entire agreement between You and the software provider concerning the Software and supersedes all prior or contemporaneous oral or written communications regarding the subject matter herein.
19. ACCEPTANCE
By clicking "I Agree," installing, activating, or using the Software, You acknowledge that You have read this EULA, understand it, and agree to be bound by its terms and conditions.
If You do not agree to the terms of this EULA, do not install, activate, or use the Software.
